This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Wire Elements for the Wire Elements Pro software product, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

License Grant. Wire Elements grants you a non-exclusive, non-transferable, limited license to use the Software in accordance with the terms of this Agreement.

Use Restrictions. You may use the Software for your own projects, but you are not allowed to use the Software to create end products that are designed to allow an end user to build their own end products using the Software or derivatives of the Software. You are also not allowed to re-distribute the Software or derivatives of the Software separately from an end product. You may not use the Software to produce anything that may be deemed by Wire Elements, in their sole and absolute discretion, to be competitive with the business of Wire Elements. Specifically, you may not use the components provided by Wire Elements to build a similar product with the means of providing components for end users. You are not allowed to use the Software in any open source projects.

Updates. Your license includes free updates for a period of one year from the date of purchase. Once your license expires, you can continue to use the Software but will no longer receive updates. If you wish to receive updates again, you must renew your license.

Business Continuation. In the event that Wire Elements goes out of business, you will be allowed to continue using the Software in accordance with the terms of this Agreement.

Termination. Your license will automatically terminate if you fail to comply with the terms and conditions of this Agreement. In such event, you must destroy all copies of the Software in your possession.

Intellectual Property. The Software is owned and copyrighted by Wire Elements (excluding open-source third-party software). All title and intellectual property rights in and to the Software and any copies thereof are owned by Wire Elements.

Disclaimer of Warranty. The Software is provided on an "as is" basis, without warranty of any kind. Wire Elements specifically disclaims any other warranty, express or implied, including any warranty of merchantability or fitness for a particular purpose. In no event shall Wire Elements be liable for any damages, including loss of data, lost profits, or any other special, incidental, or consequential damages arising out of the use or inability to use the Software.

Governing Law. This Agreement shall be governed by the laws of The Netherlands, without regard to principles of conflict of laws.

Entire Agreement. This Agreement constitutes the entire agreement between you and Wire Elements and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Wire Elements.

Changes to Agreement. Wire Elements reserves the right to change the terms and conditions of this Agreement at any time, and such changes will be effective immediately upon posting on the Wire Elements website or otherwise providing notice to you. You agree to review the Agreement periodically to be aware of such changes, and your continued use of the Software after such changes are posted will constitute your acceptance of the revised Agreement
